BITCOINFORME, S.L. (hereinafter, Bit2Me), with registered office at Calle Germán Bernacer, 69, 03203, Elche, Alicante, SPAIN and with N.I.F. B-54835301, registered in the Mercantile Registry of Alicante, volume 3828, folio 110, Entry 1 with Sheet A-143230, is the owner of the website: https://bit2me.com/ and the APP (iOS/Android) through which the Bit2Me Platform and the Space Center service are accessed.

These Specific Conditions of the Bit2Me Space Center service (hereinafter, Specific Conditions) govern the contractual relationship between you (hereinafter, user) and Bit2Me. You and Bit2Me are hereinafter referred to separately as "Party" and jointly as "Parties", with respect to your use of the Bit2Me Space Center Product, and they constitute a legally binding contract (hereinafter, Agreement) between the parties.

PURPOSE

The Space Center service is configured as the new loyalty system, based on levels and benefits, created to offer greater advantages for Bit2Me users and B2M holders. Thus, it is one of the ways in which Bit2Me strives to reward and thank loyal customers for the regular use of the Bit2Me Platform through various benefits in all Bit2Me products. In addition, this system complements the utility of Bit2Me's token, the B2M.

Through the Space Center system, those Bit2Me users who use the Platform can obtain and accumulate points by completing the so-called "missions". For every certain number of points obtained by completing missions, the user will level up, which will determine a series of benefits in the different services offered by Bit2Me.

The Space Center level system, by its nature, will replace the old Tier System in all products accessible through the Bit2Me Platform, thus making the old Tier System applied in the services provided by Bit2Me obsolete.

Those users who are part of the old Bit2Me Tiers system (tier 5 or higher) on the launch date of the Space Center system, February 20, 2023, will maintain the benefits they have in Wallet (i.e., commission discounts) according to the Tier System. However, upon leaving the Tier System (by selling or using B2M above the limit), users will become 100% part of the Space Center system. This transition period will be 1 year from the launch date of Space Center, after which ALL users will be part of the Space Center system.

DESCRIPTION OF THE BIT2ME SPACE CENTER SYSTEM

2.1. CONDITIONS OF USE OF THE SPACE CENTER SYSTEM

These Specific Conditions, the GTC of the Bit2Me Platform as well as its Privacy Policy and any other specific conditions published, are applicable to the Space Center services offered by Bit2Me through the Bit2Me Platform.

These Specific Conditions apply to your access and participation in the Space Center and will replace the old Tier System that was applied in the Bit2Me Earn and Wallet products. These terms of use will be of general application to all those products that integrate or benefit in any way from the new Space Center level system, being therefore subject to these stipulations regarding bonus specifications.

Registration as a User of the Bit2Me Platform is an essential requirement for access to the Space Center service. In this sense, any user who has a registered account on Bit2Me may benefit from the Space Center service in accordance with the conditions established in these Specific Terms.

By participating in the Space Center System, it is understood that the User has fully accepted these Terms of Use and that, therefore, has previously read and understood each and every one of the terms, undertaking to comply with all the specifications established in them, which may be stored and reproduced by the latter at any time.

Bit2Me reserves the right to modify these Terms of Use, suspend all or part of the Space Center Services; change, update, delete, cancel, suspend, any feature, component, content, in relation to the Space Center Service. When the changes and modifications made are relevant, they will be notified to the users, with the user being responsible for reviewing these Conditions accessible at https://Bit2Me.com. For these purposes, it will be considered that the user fully accepts the new conditions if, after a period of one month from the modification of the Terms and Conditions being made available to all users, the user has not requested to unsubscribe or canceled the service. The user may state during the aforementioned period that they do not agree with the changes made to the Conditions, and must request the cancellation or unsubscription from the Bit2Me service.

The total or partial invalidity of any provision or clause of these Specific Conditions will not affect the validity of the whole or part of any other provision of these Specific Conditions. The remaining provisions of these Specific Conditions will remain in full force and effect.

Any matter not resolved by these Specific Conditions will be governed by the General Terms and Conditions of Bit2Me, as well as by the Specific Terms and Conditions applicable to the different services of Bit2Me. In case of any discrepancy between these Specific Conditions of the Space Center service and the General or Specific Terms and Conditions of the Bit2Me services, those of the Space Center service will prevail.

2.2. OPERATION OF THE BIT2ME SPACE CENTER SYSTEM

The Bit2Me Space Center is Bit2Me's loyalty system, based on a level model, which complements the user's interaction with the Bit2Me Platform and the utility of B2M.

The user, once their account is registered on the Bit2me Platform, will have automatic access to the Bit2Me Space Center, where they will find the different functionalities it offers. Specifically, from the main Space Center screen, the user can check their user level within Space Center with the number of points they have, the available missions to level up, as well as the benefits they can enjoy at each level.

The purpose of this service is to grant users different benefits for using the services of the Bit2Me Platform. To do this, users must level up by obtaining points for completing the missions published periodically in the Bit2Me Space Center.

In this sense, missions are actions that users can complete within the Bit2Me Platform to earn points and level up. Users can check the details of each mission and complete it by clicking on it. Upon completing a mission, it will move to the "completed missions" section in Space Center.

As a general rule, certain missions have a validity period of 12 months from the moment the user completes the mission. However, if the user completes the mission again, the validity period will be automatically renewed to the last date on which the user completed the mission. For example: if the user completes the mission "Trade €20 in Wallet" and, after 1 month, completes the same mission again, the validity period is renewed to the day the user last completed the mission.

However, certain missions may have a validity period of less than 12 months. In any case, the information regarding the validity period will be established for each mission in the Space Center.

Regarding the points, these can be consulted from the main screen of Space Center, under the user level badge. In this sense, it is possible that when the user first enters Space Center, they have already earned points and therefore completed missions. This happens by performing missions such as buying B2M or verifying the account.

On the other hand, the levels will allow obtaining benefits in the different products of the Bit2Me product suite. Specifically, the Space Center system is composed of a level system ranging from level 0 up to a maximum of level 7. Depending on the level the user reaches by completing the different missions, they will have access to different benefits. The benefits will not be fixed and may change at the sole discretion of Bit2Me. These benefits will be announced in the Space Center depending on their availability. The user can consult all the benefits for each level from the "Benefits" tab of Space Center.

The points and benefits obtained through the Space Center loyalty system are personal and non-transferable.

The functionalities of the Space Center system may be, at any time, modified, expanded, or reduced as deemed appropriate by Bit2Me.

2.3. EXPIRATION OF POINTS

Unless otherwise stated, points will be automatically added to the user's account after completing each mission.

In general, missions will have a validity period of 12 months from the calendar month in which they were completed, after which the earned points will expire and, therefore, automatically cease to be valid. However, there are certain missions that do not have a validity period and, therefore, the points obtained will not expire, for example, those related to the purchase and maintenance of B2M.

In any case, the validity period of the mission and the expiration of the points obtained will be determined in each mission. To track the level, the status of available points, the available missions, as well as the additional benefits that you may be eligible for as a Space Center user, the user will have to enter their Space Center profile, within the Bit2Me Platform.

Bit2Me will not be responsible for notifying the user about the status of their points; it will be the user's responsibility to check their status on the main Space Center screen.

2.4. LOSS OF POINTS AND LEVEL DOWNGRADES

The points obtained by completing missions, in addition to expiring, can be lost if the user undoes any mission that has granted them. In this sense, the Space Center system will have two types of missions:

1. Missions with a specific validity period that expire after it has passed. In this case, users will not be able to undo the missions.

2. Missions without a validity period and that, therefore, do not expire. This would be the case for missions related to the purchase and maintenance of B2M, in which the user can undo the actions that have granted them points and, consequently, have produced a level up. For example: "A mission requires holding €20 in B2M and offers 500 points, which allows the user to level up. If, at any time, the €20 in B2M or part of it is sold, the user will lose all the points acquired and may be downgraded."

2.5. EXCHANGE OF B2M FOR SPACE CENTER POINTS

The exchange of B2M is the mechanism by which B2M holders who are registered in the Space Center service can exchange their B2M tokens for Space Center points. The exchange of B2M for Space Center points will be carried out by completing certain missions established within the program, allowing users to accumulate points that grant them exclusive benefits and advantages within the Bit2Me ecosystem.

To execute the exchange, users must have a sufficient amount of B2M in their account and select the corresponding option on the platform. Once the exchange is made, the user's B2M balance will be reduced by the corresponding amount depending on what is determined in each of the "Exchange" missions.

The exchange of B2M for Space Center points involves sending the user's tokens to a blockchain address with no owner, which implies their permanent removal from the market. Therefore, the user acknowledges and accepts that this process is irreversible and that it entails the total destruction of the B2M used in the exchange, with no possibility of recovery under any circumstances.

Once the user initiates the exchange process, the B2M subject to the transaction will be transferred to a custody account managed by Bit2Me. This balance will remain in custody until its final elimination is carried out, without this implying at any time the transfer of ownership of said tokens to Bit2Me, who will act exclusively as a custodian and not as the owner of said funds. In any case, the storage of B2M in the Bit2Me custody account aims to ensure proper management of the process and optimize the execution of the elimination of said tokens.

Likewise, in order to provide transparency and traceability to users, Bit2Me will offer a section within its platform where the user can consult the total amount of B2M they have exchanged and will display a global summary reflecting the total B2M exchanged by all users within the Space Center ecosystem. This functionality will allow participants to keep a detailed record of their activity and evaluate their contribution to reducing the circulating supply of B2M. It will also serve to reinforce trust in the execution of the token elimination, ensuring that all transactions are carried out in a transparent and verifiable manner.

Users who exchange B2M for Space Center points will be solely responsible for complying with the tax obligations arising from said operation, with Bit2Me being exonerated from any liability in this regard.

2.6. NO MARKET LINKAGE

B2M missions are not linked to the market, that is, regarding the use of the Space Center system, the market value of B2M will not be taken into account at any time, but rather the amount at which the user acquired the B2M.

For example, if completing a mission requires the purchase of €20 in B2M, the purchase of the value of €20 in B2M will be taken into account regardless of the value of B2M at that time, so that the fluctuation of the value of B2M will not affect participation in the missions.

In the event that the user sells part of their B2M, the reduction in Space Center will be proportional to the acquisition price of B2M at the time of participation in the mission and the current market value of B2M. Therefore, it is possible that there may be value discrepancies between what is stored in Wallet and Earn and what is considered in the Space Center missions.

2.7. BENEFITS FOR USING THE SPACE CENTER SYSTEM IN BIT2ME SERVICES

Through the Space Center service, the user will get benefits in all current and future Bit2Me services. In this regard, Bit2Me reserves the right to add new benefits to all Bit2Me services.

a) BIT2ME EARN

Users of the Bit2Me Earn service who use the Space Center service, in addition to the rewards obtained in that service (APY), will receive an increase in the APY percentage corresponding to the user's level in the Space Center. The increase in the APY percentage will be calculated by Bit2Me based on the user's Space Center level at that time. The user can see their level and the maximum extra % that will be applied to them through their profile in the Space Center.

In this sense, the maximum extra APY is the percentage added to the base APY of Bit2Me Earn. Each cryptocurrency has its own Extra APY. The higher the user's level, the more Extra APY the user will receive on all cryptocurrencies.

As an additional incentive, the Bit2Me Earn service has a Space Pool that grants an extra APY to B2M Holders, who will receive an increase in the B2M APY percentage corresponding to the user's level in the Space Center.

b) WALLET SERVICE

Regarding the Wallet service, Space Center users can benefit from a system of discounts on commissions applied by Bit2Me to transactions made on the Bit2Me Platform. This discount will depend on the user's Space Center level.

c) BIT2ME LAUNCHPAD

Those users who wish to participate in Launchpad projects, depending on their level in Space Center, may benefit from a higher or lower priority of access to these projects.

d) BIT2ME CARD

The use of Bit2Me Card will entail a cashback percentage that will depend on the User's level in Space Center.

2.8. PRICE

The Bit2Me Space Center Service is a free service and, therefore, does not entail any additional cost or expense for the user.

3. WAIVER OF SERVICE

The user cannot opt out of the Space Center system, as it is automatically and by default integrated into the Bit2Me platform, without prejudice to the fact that the user's participation in the Space Center system will be voluntary.

4. INTELLECTUAL AND INDUSTRIAL PROPERTY

The Bit2Me Space Center service, the associated software, and technological tools, including but not limited to their programming, editing, compilations, designs, logos, text, and/or graphics, are the property of Bit2Me, and are protected by national and international regulations on intellectual and industrial property. Access by the user to the service does not grant them any ownership rights over them.

Therefore, Bit2Me does not at any time grant ownership rights over the Space Center service, the associated software, or the technological tools, but rather grants the right to use them under the described conditions, it not being understood in any case that it enables their reproduction and public dissemination, assignment, sale, rental, or loan, undertaking not to assign their partial or total use in any way, as well as not to disclose, publish, or otherwise make them available to other parties.

The user acknowledges and agrees that they have no intention of using said materials or information improperly or to harm Bit2Me in any way, or any of its affiliates.

5. PENALTIES IN CASE OF FRAUDULENT USE

Bit2Me will consider as fraud behaviors that Bit2Me deems to be apparently abusive and/or malicious. Likewise, it will be understood, by way of example but not limited to, that abuse or fraud occurs when a user identifies themselves using a false identity or the identities of third parties without their consent. Any action that attempts to manipulate the user's profile or that of a third party to achieve changes in the benefits, levels, badges, missions, or any other element of the contents in the Space Center.

The verification of any of these practices will result, depending on the case, on the one hand, in the loss of access to the service and/or the automatic blocking of the profile on the platform for serious cases of fraudulent use.

Bit2Me reserves the right to take legal action against those who carry out any type of act that could be considered as manipulation of the profiles.

6. TAXATION

Within the Bit2Me platform, you can consult a record of transactions related to your use of the services, which you can use for the purpose of making any declaration or payment of taxes that may apply. It is your responsibility to determine which taxes apply to your use of Bit2Me's services, if any obligation exists, as well as to collect, declare, and remit the correct amount to the competent tax authority.

Bit2Me may deduct or make any tax withholding or declaration required by applicable regulations; however, she assumes no responsibility for determining whether taxes apply to your transactions, nor for collecting, declaring, or remitting taxes arising from any operation carried out through your Bit2Me Account or the use of the services offered. You are solely responsible for complying with the regulations that apply to you.

Likewise, you agree that Bit2Me is not responsible for determining the applicability of laws, including tax laws, to your transactions. Consequently, the user will be solely responsible for declaring and paying any tax arising from the use of the Services.

In particular, users participating in the Space Center program, including the exchange of B2M tokens for Space Center points or other benefits, acknowledge and agree that such participation may generate tax consequences under the tax regulations applicable to them. In such a case, it will be the exclusive responsibility of the user to identify, declare, and comply with the corresponding tax obligations, without prejudice to those that, where applicable, may be required of Bit2Me in accordance with current legislation.

7. LIMITATION OF LIABILITY

Bit2Me shall be exempt from any liability for damages that may be due to the temporary lack of availability or continuity of the operation of the service, to the disappointment of the utility that users might have attributed to it, and to access to the different pages and sending of participation responses via the Internet. Bit2Me will also be exempt from the acts or omissions of the participants that prevent their correct participation in the development of the campaign.

The Space Center services are provided without any warranty, whether express, implied, or statutory, except as expressly provided in these Specific Conditions, to the extent permitted by applicable law. Bit2Me disclaims any other warranty, express or implied, made by you, your affiliates, or any third party, including without limitation, any warranty regarding quality, suitability, merchantability, or otherwise, of any service or any good provided incidentally to the Space Center product or service under these Specific terms.

Notwithstanding any provision in these terms and conditions, Bit2Me is not liable to you for losses, damages, or claims due to an unusual or unforeseeable event beyond our reasonable control, including the consequences of which could not have been avoided even if all due care and diligence had been previously exercised (force majeure) or arising in connection with:

Any delay, suspension, or interruption of the Bit2Me Space Center service;
Failures or interruptions in public or private telecommunication networks, communication channels, or information systems;
The user's inability to make or complete any transaction due to maintenance of the Space Center service or system, a breakdown, or the unavailability of the Bit2Me platform or service;
Any unauthorized use of the Bit2Me platform contrary to these terms and conditions;
Compliance with any applicable law, court orders, or acts of any governmental authority;
Resulting from hacking, manipulation, transmission of computer viruses, or other unauthorized access or use of the Bit2Me platform;

Notwithstanding any provision in these terms and conditions, in no event shall we be liable to you for any incidental damages, whether direct or indirect, foreseeable or unforeseeable, including but not limited to loss of revenue, loss of profits, substitution of goods, loss of technology, loss of data, or interruption or loss of use of service, even if you have been advised of the possibility of such losses or damages and whether they arise as a result of contract or tort liability.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO THE USER.

8. PROTECTION OF PERSONAL DATA

In compliance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (hereinafter GDPR), in the Organic Law 3/2018, of December 5, on the Protection of Personal Data and guarantee of digital rights (hereinafter LOPDGDD) and in any other applicable data protection regulations, we inform participants that their personal data will be incorporated into a database owned and managed by Bit2Me, whose purpose and legal basis is the management for the provision of the Space Center service, as well as the maintenance of commercial relations based on the legitimate commercial interest of the companies of the Bit2Me Group (you can find more information about the companies that make up the Bit2Me Group at https://bit2me.com).

Users have the recognized right to exercise their rights of access, rectification, deletion, limitation, opposition, and portability of their data, for which they can send an email to the address rgpd@bit2me.com. Once the purpose of the processing has ended or the deletion of your data has been requested, they will be blocked and made available to the Administration, Judges, and Courts for the statute of limitations periods of the legal actions that correspond to the treatments produced in defense of our interests.

Likewise, Space Center users are informed that they have the right to withdraw their consent for commercial purposes for the processing of data by Bit2Me, and that they have the right to file a claim with the Spanish Data Protection Agency https://www.aepd.es/es

9. APPLICABLE LAW AND JURISDICTION

This contract will be interpreted and governed in accordance with current Spanish legislation. Both parties, with express waiver of any other jurisdiction that may correspond to them, submit any interpretation or controversy resulting from this contract to the Courts that, according to the legal system, are competent.
