OFFICIAL RULES FOR THE PROMOTION

“$SPAIN 5K Giveaway”

1. IDENTIFICATION OF THE ORGANIZING COMPANY

Bitcoinforme S.L. (hereinafter, “Bit2Me”), with registered office at C/ Germán Bernacer, 69, 03203, Elche (Alicante), Spain and with NIF: B54835301, has organized the promotion called “$SPAIN 5K Giveaway” (hereinafter, the “Promotion”), which will be carried out in accordance with these Official Rules.

2. PURPOSE

The purpose of this promotion is to reward registered and verified users of the Bit2Me platform (accessible at https://bit2me.com and on the “Bit2Me” APP on Android and iOS) who participate in the “SPAIN5K” campaign during the promotion period.

Specifically, users who meet the requirements set out in clause 4 of these official rules will be entered into a giveaway for a total of €5,000 in $SPAIN tokens. Prizes are divided as follows:

The total amount of €5,000 in $SPAIN mentioned above constitutes the maximum prize pool to be distributed among the three (3) winners selected in the giveaway, in accordance with what is established in clause 5 of these terms.

3. PARTICIPATION PERIOD

The campaign will be valid from July 1, 2026, at 00:00:00 UTC+2 until July 20, 2026, at 23:59:59 UTC+2.

4. RULES AND CONDITIONS FOR PARTICIPATION

All natural persons of legal age who meet the following requirements may participate in the promotion:

Have a personal account registered and verified on the https://bit2me.com/ website. Please note that verification can sometimes take several days and is subject to compliance with current regulations.
Register participation in the “SPAIN5K” promotion via the app or through https://bit2me.com/register?prm=SPAIN5K. Only operations carried out by previously registered users will be counted for participation in the giveaway.
Perform, during the promotion period, at least one purchase operation of the $SPAIN token in Wallet for an amount equal to or greater than €50 in a single transaction.

The following operations are expressly excluded from the promotion:

Purchase operations carried out through Bit2Me Pro and Bit2Me Earn services.
Purchases made with funds from internal deposits via Bit2Me Pay.
Sale or exchange (swap) operations of $SPAIN, as well as any operation that does not constitute a purchase of $SPAIN in Wallet.

Likewise, Bit2Me employees and profiles that have intentionally manipulated their participation may not participate in the promotion.

4.1. Prize Conditions

Only purchases of the $SPAIN token made in Wallet for an amount equal to or greater than €50 in a single transaction during the validity period will grant the right to participate in the giveaway.
Each user may only be awarded a prize once throughout the promotion, regardless of the number of transactions they have made.
Prize delivery will take place within a maximum of 14 business days after the giveaway.

5. DETERMINATION, NOTIFICATION, AND PUBLICATION OF WINNERS

5.1. Determination

Once the participation period has ended, Bit2Me will hold a random draw among all participants who meet the conditions established in these terms. Three (3) winners will be selected, one for each prize, using a system that guarantees randomness and impartiality. The first winner drawn will receive the first prize (€2,500 in $SPAIN), the second winner will receive the second prize (€1,500 in $SPAIN), and the third winner will receive the third prize (€1,000 in $SPAIN). Alternate winners may be selected in the event that any of the main winners do not meet the requirements or cannot receive the prize.

Important notice: Participation in this promotion only requires a minimum purchase of €50 in $SPAIN and is in no way dependent on the volume or frequency of transactions. Bit2Me does not in any way incentivize, promote, or recommend performing transactions of a higher amount or frequency than what the user considers appropriate for their personal and financial situation. Crypto assets are high-risk assets, and each user must act prudently and according to their own judgment. Participation in this promotion should not be interpreted as financial advice or an incentive to take disproportionate risks.

5.2. Notification

Winning participants will be privately notified via the email address associated with their Bit2Me account within a maximum of 14 business days after the giveaway. This communication will inform them of the prize obtained, which will be credited directly to their user account through the Bpay functionality.

6. TAX OBLIGATIONS

Prizes awarded in this promotion are considered capital gains in kind for the purposes of Personal Income Tax (IRPF). The tax value of the prize will correspond to the market value of the $SPAIN token at the exact moment it is made available in the user's wallet, according to the current quotation on the Bit2Me platform.

In accordance with tax regulations, prizes with a value exceeding €300 are subject to withholding tax. Bit2Me will make this payment to the Tax Agency on behalf of the winner (applying the current rate, currently 19%), without the winner having to disburse any amount to receive the prize, and will issue the corresponding withholding certificate to the user. This withholding tax will be added to the value of the prize for the purpose of calculating the winner's income.

The winner will be solely responsible for declaring the prize obtained (market value plus the withholding tax) in their Income Tax Return corresponding to the 2026 fiscal year, integrating it into their General Taxable Base. The user exempts Bit2Me from any liability arising from the non-compliance with their personal tax obligations.

7. PERSONAL DATA PROTECTION

In compliance with Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 (hereinafter GDPR), Organic Law 3/2018 of December 5, on Personal Data Protection and guarantee of digital rights (hereinafter LOPDGDD), and any other applicable data protection regulations, we inform participants that their personal data will be incorporated into a database owned and managed by BITCOINFORME, S.L., whose purpose and legal basis are the management of and participation in the promotion, as well as the maintenance of commercial relations by electronic means based on the legitimate commercial interest of the Bit2Me Group companies (you can consult the list of companies at www.bit2me.com).

Promotion participants have the right to access, rectify, erase, restrict, object to, and port their data, which can be exercised by sending an email to the address rgpd@bit2me.com. Once the processing purpose has concluded or the deletion of their data has been requested, the data will be blocked and made available to the Administration, Judges, and Courts for the statute of limitations periods for legal actions corresponding to the processing carried out in defense of our interests.

The participant guarantees that they are the owner of the personal data provided and that these are authentic. The participant will be responsible for the consequences of providing false data.

Similarly, participants in the promotion are informed that they have the right to withdraw their consent for commercial purposes regarding data processing by the Bit2Me Group, and that they have the right to lodge a complaint with the Spanish Data Protection Agency (https://www.aepd.es/es).

8. PENALTIES IN CASE OF FRAUDULENT USE

Bit2Me will consider behaviors that it deems ostensibly abusive and/or malicious as fraud. Likewise, it will be understood, by way of example but not limitation, that abuse or fraud occurs when a participant identifies themselves using a false identity or third-party identities without their consent.

Bit2Me is not responsible for any inappropriate or offensive content that users, at their own risk, may upload to the communication channels used for the promotion.

Bit2Me is not responsible if any user/client fails to complete the Bit2Me account verification process, or if, due to a potentially high demand for the Bit2Me account verification process, it cannot be completed before the end date of this promotion.

Proof of any of these practices will result in automatic disqualification and prohibition from participating in the promotion.

Bit2Me reserves the right to take legal action against individuals who carry out any act that could be considered manipulation or falsification of the campaign.

9. LIABILITY

Bit2Me reserves the right to make changes or cancel the promotion during its development, should any cause arise that prevents its successful completion or in order to improve its progress.

Bit2Me will be exempt from any liability for damages that may be due to the temporary lack of availability or continuity of the campaign's operation, the frustration of the usefulness that users may have attributed to it, and access to the different pages and submission of participation responses via the Internet. Bit2Me will also be exempt from the acts or omissions of participants that prevent their proper participation in the promotion's development.

10. ACCEPTANCE OF THE OFFICIAL RULES

Participation in the promotion implies acceptance of these official rules. Any declaration of non-acceptance of all or part of these legal terms and conditions implies the exclusion of the participant and, as a consequence, Bit2Me will be released from the obligation contracted with this participant.

Bit2Me reserves the right to make changes to the promotion during its development only if there are force majeure causes or duly justified reasons beyond the company's control that prevent its successful completion. Any substantial modification will be duly justified and published with the same level of dissemination and publicity as these original terms, safeguarding the rights acquired by participants up to that moment.

11. JURISDICTION AND APPLICABLE LAW

These Official Rules are subject to Spanish law. Any claim related to the giveaway must be sent in writing to support@bit2me.com. In the event of any discrepancy or controversy regarding the application or interpretation of these legal terms, and in the absence of an amicable agreement, the parties will submit to the jurisdiction of the courts and tribunals corresponding to the participant's domicile, in accordance with applicable consumer and user protection regulations.

Crypto assets are high-risk assets, their value can fluctuate significantly, and their acquisition may not be suitable for retail investors, potentially leading to the loss of the entire invested amount. There is no coverage from the Investment Guarantee Fund or the Deposit Guarantee Fund for these investments.
