SPECIFIC TERMS AND CONDITIONS OF THE BIT2ME JUNIOR SERVICE

TABLE OF CONTENTS

1. DEFINITIONS

For the purposes of these Conditions:

  • Bit2Me: Bitcoinforme, S.L., a crypto-asset service provider authorized under Regulation (EU) 2023/1114.

  • Service or Bit2Me Junior: an ancillary feature of the Owner's main account that allows the creation of internal sub-accounts for visualization, balance organization, and supervised saving.

  • Owner: an adult individual, Bit2Me client, with an active and verified main account, who contracts and configures the Service.

  • Junior Sub-account: an internal record associated with the Owner's main account, identified by an alias, which allows viewing specific balances assigned by the Owner. It does not constitute an independent account, wallet, or contractual relationship.

  • App User: a minor authorized by the Owner to access the Junior App in a limited way, without being a Bit2Me client or having the power to dispose of funds or crypto-assets.

  • Junior App: a specific mobile application providing limited access to view the Junior Sub-account.

2. PURPOSE AND NATURE OF THE SERVICE

Bit2Me Junior is an ancillary feature linked to the Owner's main account on the Bit2Me platform, available at https://bit2me.com, which allows the Owner to create an internal sub-account associated with their own account, assign a portion of their funds or crypto-assets to this sub-account, and authorize a minor under their parental responsibility, guardianship, or equivalent legal figure to view the corresponding balance, for supervised saving and financial education purposes.

The Service does not imply financial advice, personalized recommendation, portfolio management, investment service, or autonomous provision of crypto-asset services to the minor authorized as an App User. Furthermore, the Junior Sub-account does not constitute an independent account, autonomous wallet, payment account, deposit, financial instrument, investment product, or separate contractual relationship with Bit2Me.

All funds and crypto-assets associated with the Junior Sub-account belong to the Owner at all times. The minor authorized as an App User does not acquire legal or economic ownership, right of disposal, nor the status of client, contractual user, holder, economic beneficiary, or beneficial owner for regulatory purposes.

3. RELATIONSHIP WITH BIT2ME'S GENERAL TERMS AND CONDITIONS

These Conditions are specific and complementary to the General Terms and Conditions of Bit2Me Services, as well as the Privacy Policy, Cookie Policy, Bit2Me Custody and Safeguarding Policy, and any other applicable policies or conditions.

In case of contradiction, these Conditions shall prevail solely regarding the specific aspects applicable to the Bit2Me Junior Service, with the rest of the General Terms and Conditions of Bit2Me Services remaining fully in force.

The limited access of the minor authorized as an App User to Bit2Me Junior does not grant them the status of a Bit2Me client or contractual user. The Service is contracted, configured, and managed exclusively by the adult Owner, previously verified according to Bit2Me's applicable procedures.

4. OWNER'S REQUIREMENTS

To activate and use Bit2Me Junior, the Owner must, at all times, meet the following requirements:

a) be of legal age and have full legal capacity to contract;

b) be the holder of an active main account with Bit2Me;

c) have completed the registration, identity verification, and due diligence procedures required by Bit2Me;

d) maintain a strong authentication mechanism or two-factor authentication when required by Bit2Me;

e) have accepted Bit2Me's General Terms and Conditions, the Privacy Policy, and these Conditions;

f) not be suspended, blocked, or limited for operational, regulatory, security, fraud, AML/CTF, or contractual breach reasons;

g) hold parental authority, guardianship, legal custody, or any other sufficient authority under applicable regulations to authorize the minor to access and use the Junior App under the terms provided in these Conditions.

The Owner declares and guarantees that they hold parental authority, guardianship, legal custody, or any other sufficient authority under applicable regulations to authorize the minor to access and use the Junior App. Furthermore, they declare that they act under their sole responsibility and have obtained, when necessary, any required authorizations or consents. Bit2Me may request from the Owner reasonably necessary information or documentation to verify such legitimacy when required for legal, regulatory, security, fraud prevention, or compliance purposes. Failure to provide sufficient proof may lead to the suspension, limitation, or cancellation of the Service.

Bit2Me may deny, suspend, or limit access to the Service if the Owner fails to meet any of the above requirements or when necessary in accordance with applicable regulations, Bit2Me's internal policies, or its regulatory obligations.

5. SERVICE ACTIVATION

Service activation must be carried out exclusively by the Owner or under their direct control. During this process, the Owner must log in using their own Bit2Me credentials, which are personal and non-transferable, and must not communicate them to the minor authorized as an App User or to any third party, including passwords, verification codes, 2FA codes, or any other authentication mechanisms.

Once authenticated, the Owner may create a Junior Sub-account by assigning an alphanumeric alias between four (4) and eighteen (18) characters, and enable limited access for the authorized minor to the Junior App. After the initial setup, the session may remain active on the authorized device, allowing the minor to directly access the Junior App without their own credentials and solely to view the information corresponding to that Junior Sub-account and use the functionalities expressly permitted in these Conditions.

In the ordinary process of creating a Junior Sub-account, Bit2Me will not request the name, surname, identity document, email, date of birth, or other identifying data of the minor authorized as an App User. The alias assigned by the Owner must be neutral and must not include personal identifying data of the minor authorized as an App User, nor unlawful, offensive, misleading, or third-party rights-infringing information. Bit2Me may send the Owner a confirmation communication or informational notice when a Junior Sub-account linked to their main account is created.

6. ACCESS RESTORATION AND SESSION LOGOUT

In case of session logout, device unlinking, or loss of access to the Junior App, access can only be restored through a new authentication by the Owner using their Bit2Me credentials and the applicable verification or strong authentication mechanisms. After such authentication, the Owner may restore access to a previously created Junior Sub-account or configure a new Junior Sub-account in accordance with these Conditions.

7. AVAILABLE FEATURES

The Junior App only allows functionalities expressly enabled by Bit2Me at any given time.

The App User may, within the functionalities enabled by Bit2Me at any given time:

a) view the balance associated with the Junior Sub-account configured by the Owner;

b) consult the internal movement history associated with said Junior Sub-account;

c) view information related to balances or rewards linked to Bit2Me Earn that have been exclusively activated by the Owner concerning the crypto-assets associated with the Junior Sub-account;

d) access certain educational content available through Bit2Me Academy or equivalent sections;

e) generate an internal request for funds to be returned to the Owner's main account, the execution of which will necessarily require the Owner's express validation through the authentication mechanism required by Bit2Me.

The App User may not, under any circumstances:

a) buy, sell, redeem, or exchange crypto-assets;

b) order external transfers;

c) receive funds from third parties;

d) receive on-chain deposits;

e) send funds or crypto-assets to external wallets;

f) modify the destination of funds;

g) contract, activate, manage, modify, or dispose of trading, staking, loan, card, launchpad, API, OTC functionalities, or other advanced services;

h) contract Bit2Me services;

i) modify the Owner's main account data;

j) dispose of the funds or crypto-assets associated with the Junior Sub-account.

The functionalities linked to Bit2Me Earn available in Bit2Me Junior will be contracted, activated, managed, and, where applicable, canceled exclusively by the Owner, remaining subject to the specific terms and conditions applicable to Bit2Me Earn. The minor authorized as an App User may not contract, activate, modify, settle, cancel, or dispose of the balances and rewards linked to Bit2Me Earn, being able only to view the information that Bit2Me enables at any given time.

8. FUND FLOW AND INTERNAL OPERATIONS

All movements associated with Bit2Me Junior are carried out as internal entries within the Owner's account and Bit2Me's systems. The Junior Sub-account does not have its own blockchain address enabled for external deposits nor does it allow autonomous on-chain operations.

The allocation of funds to the Junior Sub-account must be made exclusively from the Owner's main account, with the Owner's main account also being the only possible destination for any internal fund return. The allocation of funds from the Owner's main account to the Junior Sub-account does not constitute a donation, transfer of ownership, assignment of rights, deposit for a third party, mandate, trust, or independent legal transaction between the Owner and the minor authorized as an App User vis-à-vis Bit2Me.

The internal return of funds from the Junior Sub-account to the Owner's main account does not constitute a transfer ordered by the minor authorized as an App User, but rather an internal operation by the Owner validated through the required authentication mechanisms. Bit2Me may establish maximum balance limits, number of sub-accounts, amounts per operation, frequency of movements, or any other operational limits, either generally or individually.

When crypto-assets associated with the Junior Sub-account are designated by the Owner for Bit2Me Earn, such operations will be governed by the specific terms and conditions of Bit2Me Earn accepted by the Owner. In such a case, the Owner acknowledges that the operation may involve the delivery of crypto-assets to Bit2Me under the terms provided for that product, maintaining in any case the absence of a contractual relationship, ownership, disposal capacity, or client status of the minor authorized as an App User. The Owner also acknowledges that the use of Bit2Me Earn is subject to its own specific conditions, characteristics, and warnings, in accordance with the terms and conditions applicable to that product.

9. REGULATORY NATURE OF THE SERVICE

Bit2Me Junior does not constitute an independent crypto-asset service provided to the minor authorized as an App User. Regulated crypto-asset services under Regulation (EU) 2023/1114 are provided, where applicable, exclusively to the Owner, as a verified adult Bit2Me client, without the authorized minor acquiring client status with Bit2Me or receiving from Bit2Me custody, administration, transfer, exchange, order execution, order reception and transmission, advice, portfolio management, or any other crypto-asset services.

The Junior Sub-account does not constitute an autonomous wallet or a crypto-asset account separate from the Owner. Bit2Me does not provide crypto-asset advice through Bit2Me Junior, and no content accessible from the Junior App should be interpreted as a personalized recommendation, financial advice, investment recommendation, or an invitation to acquire, sell, or hold crypto-assets. The Owner acknowledges that crypto-assets present the risks described in the General Terms and Conditions of Bit2Me Services and in the applicable regulations.

10. PREVENTION OF MONEY LAUNDERING AND TERRORIST FINANCING

Bit2Me is subject to anti-money laundering and counter-terrorist financing obligations under applicable regulations. For these purposes, the sole Bit2Me client in relation to the Service is the Owner of the main account, and the minor authorized as an App User does not acquire the status of client, originator, beneficiary, beneficial owner, or person with disposal capacity over the funds or crypto-assets associated with the Junior Sub-account.

Operations associated with Bit2Me Junior are limited to internal movements between the Owner's main account and the Junior Sub-account linked to it, thus being integrated into the ordinary monitoring of the Owner's main account. Bit2Me may request additional information or documentation from the Owner when necessary in accordance with applicable regulations, its internal policies, or its due diligence procedures, including information related to the origin of funds, the purpose of using the Service, or the Owner's legitimacy to authorize the minor's access.

Failure to respond to such requests or the existence of indications of improper use, fraud, circumvention of controls, or illicit activity may lead to the suspension, limitation, or cancellation of the Service, without prejudice to the measures corresponding under the General Terms and Conditions of Bit2Me Services and applicable regulations.

11. DATA PROTECTION

The processing of personal data associated with Bit2Me Junior will be governed by Bit2Me's Privacy Policy and, in particular, by the specific provisions applicable to the Bit2Me Kids/Junior service, as well as by Regulation (EU) 2016/679, General Data Protection Regulation ("GDPR"), Organic Law 3/2018, on Personal Data Protection and guarantee of digital rights ("LOPDGDD"), and any other applicable regulations regarding personal data protection and privacy.

The Service has been designed in accordance with the principles of privacy by design and by default, data minimization, and purpose limitation. In the ordinary process of creating and using the Junior Sub-account, Bit2Me will not request formal identification data of the minor authorized as an App User, such as name, surname, identity document, date of birth, biometric data, or email. The data processed is linked to the Owner's main account, without prejudice to the technical or operational identifiers that may be generated by the use of the Junior App and that are necessary for security, traceability, technical operation, fraud prevention, and regulatory compliance. The Owner undertakes not to introduce personal data of the minor authorized as an App User or information that allows their direct identification into the alias.

Bit2Me may process the necessary data for the technical management of the Service, account security, fraud prevention, regulatory compliance, handling requests, and maintaining the contractual relationship with the Owner. The rights recognized by data protection regulations may be exercised in accordance with Bit2Me's Privacy Policy.

12. OWNER'S RESPONSIBILITY

The Owner is solely responsible for contracting, configuring, managing, and supervising the Service and the minor's authorized access to the Junior App. In particular, it will be exclusively the Owner's responsibility to safeguard their credentials and authentication mechanisms, control access to the device on which the Junior App is used, and verify that the use of the Service complies with these Conditions and applicable regulations.

The Owner will also be responsible for validating or rejecting any internal fund return request initiated from the Junior App using the authentication mechanisms required by Bit2Me. Furthermore, they must notify Bit2Me, without undue delay, of any unauthorized access, loss of device, suspicion of fraud, or compromise of their credentials or security mechanisms.

The Owner acknowledges that any operation or validation carried out using their credentials or authentication mechanisms will be presumed to have been performed or authorized by them, unless they had previously notified Bit2Me of their loss, theft, unauthorized use, or security compromise in accordance with Bit2Me's established procedures.

13. PROHIBITED USES

Bit2Me Junior may only be used in accordance with the purpose and functionalities provided in these Conditions and within the technical, operational, and regulatory limits established by Bit2Me at any given time.

The Owner undertakes not to use the Service in a manner contrary to applicable regulations, these Conditions, the General Terms and Conditions of Bit2Me Services, or Bit2Me's internal policies, including any fraudulent, unlawful, deceptive use or use intended to circumvent regulatory, operational, or security controls.

Bit2Me may suspend, limit, or cancel the Service when it detects use contrary to these Conditions, applicable regulations, or its internal policies.

14. EDUCATIONAL CONTENT

The Junior App may allow access to educational content from Bit2Me Academy or equivalent sections. Such content will be for informational and educational purposes only and will not constitute financial, tax, legal, accounting, or investment advice, nor a personalized recommendation on crypto-assets.

The Owner will be responsible for supervising the access of the minor authorized as an App User to such content and for assessing its suitability based on their personal circumstances. Bit2Me may modify, withdraw, replace, or limit the available content at any time.

15. SECURITY

Bit2Me will apply reasonable technical and organizational measures to protect the security of the Service, in accordance with applicable regulations and its internal policies. Furthermore, it may introduce additional authentication, verification, preventive blocking, notification, traceability, or control mechanisms when deemed necessary for security, fraud prevention, regulatory compliance, or Owner protection.

The Owner must keep the device on which the Junior App is installed protected, preventing unauthorized access, use by unauthorized third parties, or improper exposure of the active session. Bit2Me will not be responsible for accesses resulting from the loss, theft, transfer, lack of control, unlocking, or negligent use of the device by the Owner or the minor authorized as an App User.

16. OPERATIONAL LIMITS

Bit2Me may establish operational limits applicable to the Service, including, among others, the maximum number of Junior Sub-accounts per Owner, maximum balance per Junior Sub-account, maximum amount or frequency of internal movements, assets supported by Bit2Me at any given time, as well as control and limitation measures linked to the Owner's profile or internal risk, security, and regulatory compliance criteria.

Such limits may be modified, expanded, restricted, or eliminated at any time for regulatory, operational, technical, security, fraud prevention, regulatory compliance, risk management reasons, or during pilot phases, controlled tests, or progressive deployments of the Service. These modifications will not grant the Owner the right to compensation, except in cases where it is mandatory under applicable regulations.

17. SERVICE SUSPENSION, BLOCKING, OR CANCELLATION

Bit2Me may suspend, block, limit, or cancel the Service when necessary due to breach of these Conditions, the General Terms and Conditions of Bit2Me Services, loss of verified client status by the Owner, suspicion of improper use, fraud, illicit activity, compromise of credentials or device, use by an unauthorized person, requirement from a competent authority, inability to comply with legal or regulatory obligations, operational, technical, or security risk, or due to the termination, modification, or discontinuation of the Service.

The suspension, blocking, limitation, or cancellation of the Service will not affect the ownership of the funds or crypto-assets associated with the Junior Sub-account, which will continue to belong to the Owner at all times and remain subject to the General Terms and Conditions of Bit2Me Services and applicable regulations.

In case of Service cancellation, Bit2Me may return the balance associated with the Junior Sub-account to the Owner's main account, unless there is a legal, operational, judicial, regulatory, or compliance block preventing it.

The App User reaching legal age will not imply the automatic opening of their own Bit2Me account or the automatic transfer of funds, crypto-assets, balances, or rewards associated with the Junior Sub-account. Any eventual registration of the App User as a Bit2Me client must be carried out, where applicable, according to the ordinary registration, verification, contracting, and due diligence procedures applicable at any given time.

18. MODIFICATION OF THE SERVICE AND CONDITIONS

Bit2Me may modify these Conditions at any time, as well as the configuration, functionalities, limits, requirements, or characteristics of the Service, especially when necessary for legal, regulatory, technical, operational, security, fraud prevention, anti-money laundering, and terrorist financing reasons, or by requirement of a competent authority.

When modifications are significant and required by applicable regulations or the General Terms and Conditions of Bit2Me Services, Bit2Me will inform the Owner with due notice. If the Owner does not agree with the modifications, they may cease using the Service and request its deactivation.

19. LIMITATION OF BIT2ME'S LIABILITY

Bit2Me will not be responsible for the use of the Junior App by the minor authorized as an App User or by third parties, for the Owner's lack of supervision, for the loss, theft, transfer, or improper use of the device, nor for the compromise of credentials or authentication mechanisms attributable to the Owner or negligent use of the Service.

Furthermore, Bit2Me will not be responsible for decisions made by the Owner regarding the allocation, maintenance, or management of funds or crypto-assets, nor for the volatility, loss of value, or illiquidity of such crypto-assets. Bit2Me will also not be liable for temporary service interruptions resulting from maintenance, technical incidents, force majeure, cyberattacks, third-party failures, or causes beyond its reasonable control.

The foregoing will not exclude or limit Bit2Me's liability in cases where such exclusion or limitation is not valid under applicable regulations.

20. INTELLECTUAL AND INDUSTRIAL PROPERTY

The Junior App, the Bit2Me platform, its content, trademarks, designs, software, code, interfaces, texts, images, logos, and other protectable elements are the property of Bit2Me or its licensors. Access to the Service does not grant the Owner or the minor authorized as an App User any intellectual or industrial property rights over these elements, and their copying, modification, reproduction, distribution, public communication, transformation, reverse engineering, or unauthorized exploitation is prohibited.

21. APPLICABLE LAW AND JURISDICTION

These Conditions will be interpreted and governed by Spanish law.

For the resolution of any dispute that may arise in relation to the Service, when the Owner is a consumer and user, the competent courts and tribunals will be those corresponding to the applicable consumer and user regulations.
