SPECIFIC TERMS AND CONDITIONS OF THE AMBASSADORS PROGRAMME

BITCOINFORME, S.L. (hereinafter, Bit2Me), with registered office at Calle Germán Bernacer, 69, 03203, Elche, Alicante, SPAIN and with Tax Identification Number B-54835301, filed with the Alicante Mercantile Registry, in volume 3828, folio 110, Entry 1, page A-143230, is the owner of the website: https://bit2me.com/ and of the APP (iOS/Android) through which the Bit2Me Platform is accessed.

These Specific Terms and Conditions of the Bit2Me Ambassador Programme (hereinafter, Specific Terms and Conditions) govern the contractual relationship between you (hereinafter, the Ambassador) and Bit2Me. You and Bit2Me are hereinafter referred to separately as a "Party" and jointly as the "Parties" with regard to your use of the Bit2Me Ambassador Programme, and these constitute a legally binding contract (hereinafter, the "Contract") between the parties.


1.- Purpose

The purpose of the Programme is to activate a network of external collaborators in order to scale community engagement, promote education on regulated crypto-assets and drive the growth of the Bit2Me ecosystem through content creation, event organisation and the acquisition of referrals. By voluntarily joining the Programme, the Ambassador agrees to participate and, consequently, to the terms and conditions set out below.


2.- Nature of the Relationship

The relationship between Bit2Me and the Ambassador is established as that of an independent external collaborator. No provision of these Terms and Conditions shall be construed as constituting an employment, agency or partnership relationship. The Ambassador has no authority whatsoever to legally represent the Company or to incur obligations on its behalf.

By participating in the Programme, it is understood that the Ambassador has fully accepted these Terms of Use and that, therefore, they have previously read and understood each and every one of the terms, undertaking to comply with all the specifications set out therein, which may be stored and reproduced by the Ambassador at any time.

Bit2Me reserves the right to amend these Terms of Use, suspend the Programme in whole or in part; and to change, update, remove, cancel or suspend any feature, component or content relating to the Programme. Where changes and amendments are made and are material, Ambassadors will be notified, and it is the Ambassador's responsibility to review these Terms, which are available at https://Bit2Me.com. For these purposes, the Ambassador shall be deemed to have fully accepted the new terms if, one month after the changes have been made available to all Ambassadors, the Ambassador has not requested to terminate or de-register from the service. The Ambassador may, within the aforementioned period, indicate that they do not agree with the changes made to the Terms and Conditions, in which case they must request the cancellation or termination of the Bit2Me service.

The total or partial invalidity of any provision or clause of these Specific Terms and Conditions shall not affect the validity of the whole or part of any other provision of these Specific Terms and Conditions. The remaining provisions of these Specific Terms and Conditions shall remain in full force and effect. Any matter not resolved by these Specific Terms and Conditions shall be governed by Bit2Me's General Terms and Conditions, as well as by the Specific Terms and Conditions applicable to the various Bit2Me services. In the event of any discrepancy between these Specific Terms and Conditions and the General or Specific Terms and Conditions of Bit2Me's services, those of the Programme shall prevail.


3.- Level and Rank Structure

The Programme is organised according to longevity and monthly performance:

4.- Obligations Regarding Advertising and Risks

The Ambassador undertakes to strictly comply with CNMV Circular 1/2024 and the General Advertising Act. Consequently, they must:

  1. Include the following warning in a visible and legible manner in all publications relating to Bit2Me: "Investment in crypto-assets is unregulated, may not be suitable for retail investors and may result in the loss of the entire amount invested."

  2. Clearly identify the content as advertising by using visible tags (e.g. #Ad, #Advertisement, #Bit2MeAmbassador).

  3. Refrain from making promises of guaranteed returns or issuing messages that may mislead regarding the risks inherent in crypto-assets.


5.- White-Listing Procedure

Bit2me may require, given the associated visibility and compensation, that Ambassadors with the rank of 'Space Gardener' or higher undergo, individually or collectively, the following prior validation procedure:

  1. Submission of the Proposal: Before publishing any original content (articles, videos, long threads), the Ambassador must submit it for review via the relevant management platform.

  2. Legal Review/Regulatory Compliance: The Company will review the content within a maximum of 48 hours to ensure full compliance with current regulations.

  3. Approval: Only content that receives an "Approved" confirmation may be published. The publication of unvalidated content may result in the loss of points for the current month or a downgrade in rank.


6.- Compensation and Tax Regime

In return for their promotional activities for Bit2Me, Ambassadors will earn compensation which will be paid monthly into the wallets designated by the Ambassador upon joining the Programme. Such compensation may be paid by Bit2Me in any crypto-asset it deems appropriate, depending on the rank achieved.

The Ambassador is solely responsible for meeting the tax obligations arising from their actions in connection with the Programme. In the case of an Ambassador resident in Spain, in accordance with current tax regulations, their compensation may be subject to the relevant Personal Income Tax (IRPF) withholding, depending on the nature of the activity. The Ambassador is responsible for providing the tax information necessary for the correct application of such withholding.


7.- Intellectual and Industrial Property

The Programme, the associated software and the technological tools, including, but not limited to, their programming, editing, compilation, design, logos, text and/or graphics, are the property of Bit2Me and are protected by national and international intellectual and industrial property laws. The Ambassador's access to the service does not grant them any ownership rights over these elements.

Therefore, Bit2Me does not at any time grant any right of ownership over the Programme, the associated software or the technological tools, but rather grants the right to use them under the conditions described; under no circumstances shall this be construed as authorisation for their reproduction and public dissemination, transfer, sale, hire or loan, and the Ambassador undertakes not to transfer their use, in whole or in part, in any form, nor to disclose, publish or otherwise make them available to third parties.

The Ambassador acknowledges and accepts that they have no intention of using such materials or information inappropriately or in any way to harm Bit2Me or any of its affiliates.

8.- Penalties in the Event of Fraudulent Use

Bit2Me will consider behaviour that it deems to be apparently abusive and/or malicious to constitute fraud. Similarly, it will be understood, by way of example but not limited to, that abuse or fraud occurs when an Ambassador identifies themselves using a false identity or the identities of third parties without their consent.

The discovery of any of these practices will result, depending on the case, in the loss of access to the service and/or the automatic blocking of the profile on the platform in serious cases of fraudulent use.

Bit2Me reserves the right to take legal action against any persons who carry out any act that could be considered as profile manipulation.


9.- Termination and Inactivity Clause

Bit2Me reserves the right to revoke the status of Ambassador from any person who contravenes these terms and conditions.

Similarly, Bit2Me may terminate the participation in the programme of those Ambassadors who do not demonstrate any contribution during a calendar month following receipt of a first notice of inactivity. Should such inactivity persist for a second month, the Ambassador will be automatically excluded from the Programme.


10.- Limitation of Liability

Bit2Me shall be exempt from any liability for damages that may arise from the temporary unavailability or interruption of the service, from the failure to meet the expectations that Ambassadors may have had regarding the service, and from access to the various pages and the submission of participation responses via the Internet. Bit2Me shall also be exempt from any acts or omissions by participants that prevent their proper participation in the campaign.

The Programme is provided without any warranty, whether express, implied or statutory, except as expressly provided in these Specific Terms and Conditions, to the extent permitted by applicable law.

Notwithstanding any provision in these terms and conditions, Bit2Me shall not be liable to you for any loss, damage or claim arising from an unusual or unforeseeable event beyond our reasonable control, including the consequences of which could not have been avoided even if we had previously exercised all due care and diligence (force majeure) or arising in connection with:

  1. Any delay, suspension or interruption of the Bit2Me service;

  2. Failures or interruptions in public or private telecommunications networks, communication channels or information systems;

  3. Any unauthorised use of the Bit2Me platform contrary to these terms and conditions;

  4. Compliance with any applicable law, court orders or acts of any government authority;

  5. The result of hacking, tampering, transmission of computer viruses or other unauthorised access to or use of the Bit2Me platform;

Notwithstanding any provision in these terms and conditions, in no event shall we be liable to you for any incidental damages of any kind, whether direct or indirect, foreseeable or unforeseeable, including, but not limited to, loss of revenue, loss of profits, replacement of goods, loss of technology, loss of data or interruption or loss of use of the service, even if you have been warned of the possibility of such losses or damages and whether arising under contract or in tort.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY IN ALL CASES.


11.- Protection of Personal Data

In compliance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (hereinafter the GDPR), Organic Law 3/2018 of 5 December on the Protection of Personal Data and the Guarantee of Digital Rights (hereinafter LOPDGDD) and any other applicable data protection regulations, we inform participants that their personal data will be incorporated into a database owned and managed by Bit2Me, the purpose and legal basis of which is the administration of the Bit2Me Ambassador Programme, as well as the maintenance of commercial relationships based on the legitimate commercial interests of the companies within the Bit2Me Group (you can find more information about the companies that make up the Bit2Me Group at https://bit2me.com/es).

Ambassadors are entitled to exercise their rights of access, rectification, erasure, restriction, objection and data portability, which may be exercised by sending an email to rgpd@bit2me.com. Once the purpose of the processing has been fulfilled or the erasure of their data has been requested, the data will be blocked and made available to the authorities, judges and courts for the duration of the limitation periods applicable to legal actions arising from the processing carried out in defence of our interests.

Similarly, Ambassadors are informed that they have the right to withdraw their consent for commercial purposes regarding the processing of data by Bit2Me, and that they have the right to lodge a complaint with the Spanish Data Protection Agency https://www.aepd.es/es.


12.- Applicable Law and Jurisdiction

These Terms and Conditions shall be interpreted and governed in accordance with current Spanish law. The parties, expressly waiving any other jurisdiction/forum to which they may be entitled, submit any interpretation or dispute arising from this contract to the courts which, in accordance with the legal system, are competent.
